These Terms of Service (“Terms”) govern your use of useaxis.app, gooverroad.com and the OverRoad service (together, the “Services”), provided by Axis HQ Inc (“Axis HQ Inc”, “we”, “us”).
1. Acceptance of these Terms
By using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a business, you confirm that you have authority to bind that business, and “you” means that business. If you do not agree, do not use the Services. A signed order or agreement with us controls where it conflicts with these Terms.
2. The OverRoad service
OverRoad is software that answers broker calls on a carrier's phone number, negotiates within the rules the carrier sets, and helps with the paperwork that follows. OverRoad acts at the carrier's direction: the carrier approves every load and remains responsible for the loads it accepts. OverRoad is not a freight broker, dispatcher or motor carrier, and it is not affiliated with the U.S. Department of Transportation or FMCSA. We may add, change or remove features over time. Features we label as early access may change without notice.
3. Accounts
You must be at least 18 years old and give us accurate information. Keep your login details secure, and tell us right away about any unauthorized use. You are responsible for activity under your account.
4. Your responsibilities
- Use the Services only for lawful business purposes.
- Only forward phone numbers you are authorized to use, and give any notices the law requires for calls handled on your behalf.
- Keep your operating rules, such as rate floors, lanes and equipment, accurate, and review each load before you approve it.
- Follow the laws and regulations that apply to your business, including transportation, telemarketing and call recording laws.
- Do not misuse the Services: no reverse engineering, interfering with or overloading our systems, accessing them without permission, or using them to send spam.
5. Fees and payment
If you buy a paid plan, you agree to pay the fees in your order or plan, plus applicable taxes. Unless your order says otherwise, fees are billed in advance and are non-refundable. We may suspend the Services if payment is late, after giving you notice. We will tell you before we change our fees. OverRoad never takes a percentage of a load.
6. Text messaging
If you agree to receive text messages from OverRoad, our SMS Terms apply. Messages may include information about OverRoad products and offers. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help at any time. Consent to receive text messages is not a condition of purchase.
7. Calls and recordings
OverRoad's voice agents say they are the carrier's automated office when asked. Calls that OverRoad handles, and calls with our team, are recorded and transcribed with notice. Carriers can read the transcripts of calls handled for them.
8. Your data
You keep ownership of the data you give us. You allow us to use it to provide, secure and improve the Services, as described in our Privacy Policy.
9. Intellectual property
We own the Services, including our software, websites and the Axis HQ Inc and OverRoad names and logos. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Services for your business. If you send us feedback, we may use it without obligation to you.
10. Third-party services
The Services rely on third parties such as phone and messaging carriers, and may link to or work with other services. We are not responsible for third-party services, and your use of them may be subject to their own terms.
11. Disclaimers
The Services are provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Automated systems can make mistakes. We do not guarantee that every call will be answered, that any load will be booked, or that any rate will be achieved.
12. Limitation of liability
To the extent the law allows, Axis HQ Inc will not be liable for any indirect, special, consequential, exemplary or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us in the 12 months before the claim and US $100.
13. Indemnification
You will defend and indemnify Axis HQ Inc against claims arising from your use of the Services, the loads you accept, or your breach of these Terms or the law.
14. Suspension and termination
You may stop using the Services at any time. We may suspend or end your access if you breach these Terms or if we must do so to comply with the law. Sections that by their nature should survive termination will survive, including sections 8 through 15.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be heard in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
16. Changes to these Terms
We may update these Terms. When we do, we will change the “Last updated” date above, and for material changes we will give reasonable notice. Continuing to use the Services after a change means you accept the updated Terms.
17. General
These Terms are the entire agreement between you and us about the Services unless a signed agreement says otherwise. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent.
